Terms & Conditions

1. Introduction and Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Settlezy website, digital platforms, software, and services.

The website and services are operated by the applicable Settlezy legal entity ("Settlezy", "we", "us", or "our"). References to Settlezy include its authorised representatives and service providers, where the context permits.

By accessing this website, submitting an enquiry, creating an account, or using any service, you agree to these Terms and any additional terms applicable to the particular service you select.

If you do not agree with these Terms, please discontinue use of the website and services.

2. Scope of Services

Depending on the service offered and your engagement with us, Settlezy may provide:

  • Legal technology and digital tools for managing contracts, projects, documents, and disputes.

  • Document review, document bundling, summarisation, drafting assistance, and related technology services.

  • Legal, regulatory, business, and compliance consultancy through appropriately qualified professionals, where applicable.

  • Assistance with dispute management, arbitration, mediation, settlement, and other alternative dispute resolution processes.

  • Business registration, documentation, compliance, and related professional services, where offered.

  • Other services described on our website or agreed to separately in writing.

The scope, availability, deliverables, professional responsibilities, and charges for a specific service will be governed by the applicable service description, engagement letter, order, or separate agreement.

3. Eligibility and User Accounts

You must have the legal capacity to enter into a binding agreement under applicable law to use services that require contractual acceptance.

If you access our services on behalf of a company, organisation, or another person, you represent that you are authorised to act on their behalf.

You agree to:

  • Provide accurate, complete, and up-to-date information.

  • Keep your login credentials confidential.

  • Notify us promptly of suspected unauthorised access to your account.

  • Maintain the security of devices and accounts used to access our services.

  • Accept responsibility for activities carried out through your account, subject to applicable law.

We may restrict, suspend, or terminate access where reasonably necessary to protect our systems, comply with law, or address a breach of these Terms.

4. Permitted Use

You may use the website and services only for lawful purposes and in accordance with these Terms.

You must not:

  • Use the website for fraud, unlawful activity, harassment, or misrepresentation.

  • Upload malicious software or attempt to compromise our systems.

  • Attempt unauthorised access to accounts, databases, or restricted areas.

  • Interfere with website functionality, availability, or security.

  • Copy, scrape, distribute, or commercially exploit website content or software without authorisation.

  • Submit documents or personal information that you are not authorised to share.

  • Use our services to infringe third-party intellectual property, confidentiality, privacy, or other rights.

  • Misrepresent AI-generated content or draft documents as verified professional advice.

5. Legal and Professional Services

Where Settlezy facilitates legal consultancy, documentation, compliance, or related professional services, the nature of the engagement and the identity of the responsible professional will depend on the particular service.

Unless expressly agreed otherwise in writing, access to the website or use of a general-purpose digital tool does not, by itself, establish an advocate-client relationship, legal retainer, fiduciary relationship, or appointment as your legal representative.

You remain responsible for providing complete and accurate facts, reviewing documents, supplying requested information, and making informed decisions.

Any professional advice or representation will be subject to the relevant engagement terms, applicable professional obligations, and applicable law.

6. Arbitration, Mediation, and Dispute Management

Where our services support arbitration, mediation, negotiation, settlement, or other dispute-resolution processes:

  • The relevant process will be governed by applicable law, the parties' agreement, and any applicable institutional or procedural rules.

  • Settlezy's role will be determined by the applicable engagement and may be limited to providing technology, administration, coordination, or other agreed assistance.

  • Settlezy does not automatically act as an arbitrator, mediator, adjudicator, legal representative, or decision-maker merely because you use its platform.

  • Any appointment of an arbitrator, mediator, or other professional must be made in accordance with the applicable agreement and legal requirements.

  • Users are responsible for complying with applicable filing deadlines, procedural directions, and requirements communicated by the relevant authority or professional.

No outcome, settlement, award, recovery, or resolution is guaranteed.

7. AI-Enabled Features and Digital Outputs

Some features may use AI or automated systems to review documents, generate summaries, prepare drafts, identify relevant information, or assist with workflows.

You acknowledge that:

  • AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for your circumstances.

  • AI outputs are not a substitute for independent verification or professional judgement.

  • You must review and verify important facts, legal references, calculations, dates, and contractual provisions before relying on generated content.

  • You should not submit unnecessary confidential or personal information to an AI feature.

  • Availability, performance, and outputs may vary depending on the underlying technology and service configuration.

You remain responsible for decisions and actions taken using digital or AI-generated outputs, subject to rights and protections that cannot lawfully be excluded.

8. Fees and Payments

Charges, payment schedules, applicable taxes, and refund conditions will be specified in the relevant service description, invoice, quotation, or separate agreement.

Unless otherwise agreed in writing:

  • You must pay the applicable fees within the specified payment period.

  • Applicable taxes and statutory charges may be added to quoted prices.

  • Third-party charges may apply where disclosed or agreed.

  • Cancellation, rescheduling, and refund requests will be handled according to the terms applicable to the relevant service and mandatory law.

Nothing in these Terms excludes any refund, cancellation, or other right that cannot lawfully be waived.

9. Intellectual Property

Unless otherwise stated, the website, branding, logos, design elements, software, platform interfaces, and original website content are owned by or licensed to Settlezy and are protected by applicable intellectual property laws.

You may use these materials only for their intended purpose and in accordance with these Terms.

You retain rights in documents and materials that you lawfully own or are authorised to submit. You grant Settlezy the limited rights reasonably necessary to receive, host, process, and use those materials to deliver the requested services and comply with applicable obligations.

Ownership and permitted use of customised deliverables, software developments, or other work products may be specified in a separate agreement.

10. Confidentiality and Data Protection

We handle personal information in accordance with our Privacy Policy and applicable data protection laws.

Users must respect the confidentiality of documents, information, and communications to which they obtain access through our services.

Where a separate agreement establishes additional confidentiality, security, or data-processing obligations, that agreement will apply according to its terms.

11. Third-Party Services

Our website or platform may integrate with or link to third-party software, hosting services, payment gateways, communication tools, or other external services.

Such services may be governed by separate terms. We do not control independent third-party services and are not responsible for their availability, content, or practices, except to the extent responsibility cannot lawfully be excluded.

12. Availability and Changes to Services

We aim to maintain reliable access to our website and services but do not guarantee uninterrupted or error-free availability.

We may modify, suspend, discontinue, or update any website feature or service for operational, security, commercial, or legal reasons. Where required, we will comply with applicable contractual and legal obligations.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Settlezy shall not be liable for indirect, incidental, special, consequential, or punitive losses, including loss of profits, business opportunities, data, or goodwill, arising from use of the website or services.

Subject to applicable law and any separate written agreement, Settlezy's aggregate liability for claims arising from a particular paid service shall not exceed the amount paid or payable for that service during the three months preceding the event giving rise to the claim.

The above limitations do not exclude liability where such exclusion or limitation is prohibited by law, including applicable liability for fraud, wilful misconduct, or other non-excludable obligations.

Any specific liability allocation agreed in a separate service contract will apply according to its terms.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Settlezy harmless against third-party claims, losses, and reasonable expenses arising directly from your unlawful use of the website, infringement of third-party rights, or material breach of these Terms.

This provision does not apply to the extent a claim results from Settlezy's own conduct for which indemnification cannot lawfully be required.

15. Suspension and Termination

We may suspend or terminate access to the website or a service where reasonably necessary because of a material breach of these Terms, security risks, unlawful activity, non-payment, or legal requirements.

You may discontinue using the website at any time. Termination of a particular paid engagement will be subject to its applicable contractual terms.

Provisions that by their nature should survive termination, including those relating to intellectual property, confidentiality, outstanding payments, liability, and dispute resolution, will continue to apply to the extent permitted by law.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India.

Any dispute arising out of or relating to these Terms shall first be addressed through good-faith discussions between the parties. If the dispute cannot be resolved amicably, it shall be referred to the competent courts having jurisdiction under applicable law, subject to any valid and applicable arbitration agreement or other mandatory dispute-resolution procedure.

Nothing in this section removes any jurisdiction or remedy that cannot lawfully be excluded.

17. Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be published on this page with a revised effective date.

Your continued use of the website after updated Terms become applicable will be subject to applicable law and any consent or notice requirements.
